Agreement
These Terms of Use govern your use of looping.gg, its game and video pages, its developer tools and agent connections, and every other site and service Looping operates (together, “Looping”). “We” and “us” mean Looping; “you” means you, and the organization you act for if you use Looping on its behalf. By using Looping you accept these Terms. If you don't accept them, don't use Looping.
About Looping
Looping hosts web games made by independent creators, and provides software to launch and trade a token for each of them on Robinhood Chain, a public blockchain. Tokens are created, traded and settled by smart contracts on that chain, not by us. Looping is software. We are not a broker, exchange, bank, money transmitter, investment adviser or fiduciary, and nothing on Looping is an offer or solicitation to buy or sell any asset.
Eligibility
You may use Looping only if you are at least 18 years old (or the age of majority where you live, if higher), can form a binding contract, and are allowed to use it under the laws that apply to you. You may not use Looping if you are located in, or a resident or national of, Cuba, Iran, North Korea, Syria, Russia, Belarus, the Crimea, Donetsk and Luhansk regions of Ukraine, Myanmar, Venezuela, the United Kingdom and the member states of the European Union, or any place subject to comprehensive sanctions by the United Nations, the United States (OFAC), the European Union or the United Kingdom; or if you, or anyone who owns or controls you, is on a sanctions list. You may not use a VPN or any other means to hide where you are.
Accounts, wallets and agents
You sign in with your email and may link one or more wallets to your account by signing a message with each. You are responsible for your email account, your wallets and everything done with them. We never ask for your private keys or seed phrase, and we can't recover a wallet or reverse a transaction if they are lost or stolen.
You may connect coding agents and other tools to Looping with an agent key or an approved sign-in. Everything an agent does with your access is done by you. Keep your keys secret and revoke any you no longer use.
A noncustodial service
Looping never takes custody of your digital assets. Trades, launches and purchases are transactions you sign in your own wallet and send to smart contracts on Robinhood Chain. Payments you send to Looping's treasury (launch fees, hosting credits) are final once confirmed on chain. Fees owed to creators are credited by the contracts to an escrow that only the creator's wallet can claim from.
Transactions
Prices, amounts, fees and other figures Looping shows are estimates based on the chain's state when shown. A transaction can fail, cost gas without succeeding, or execute at a different price within the slippage you allow. Blockchain transactions can't be reversed, and we can't cancel or change one once you have signed it. Check every transaction in your wallet before you sign.
Games, series and tokens you create
When you publish a game or launch its token, you are its creator and responsible for it: its content, its code, its name, ticker and image, and anything you say about it. You must own or have the rights to everything you publish. Every build is checked automatically before it can be released; passing that check is not an endorsement or a guarantee that a game is safe or works. A game is seen only by its creator until its token launches. A token's name, ticker, image, creator fee and pairing can't be changed after launch.
Being listed, featured or suggested on Looping is not an endorsement of a game, a creator or a token.
Trading and liquidity
Tokens launched on Looping trade on a bonding curve until it sells out, then in a Uniswap pool whose liquidity is locked. Their prices can move sharply, a token can lose all of its value, and there may be no one to trade with. A token's trading fees, creator fee and anti-sniper fee are fixed by the contracts at launch. A token's creator may hold, buy and sell it like anyone else.
In-game purchases and credits
Items sold in a game's store are sold by that game's creator. Purchases are paid on chain and are final; what an item does is up to the game. Hosting credits pay for services Looping runs for a game, such as multiplayer rooms. They are used as those services run, can't be withdrawn or transferred, have no cash value, and are final.
Risks
Using Looping involves serious risks, including: losing some or all of the assets you use; bugs, exploits or failures in smart contracts, wallets, Robinhood Chain or other networks; price volatility and illiquidity; network congestion and fees; theft through phishing, malware or compromised keys; changes in law or regulation that affect digital assets or Looping; and games or tokens that don't work as described. You use Looping at your own risk, and you are responsible for deciding whether any transaction is right for you.
Fees and taxes
- Trading fee
- 1% of every buy and sell of a token launched on Looping, on its bonding curve and in its Uniswap pool after graduation. 45% of it goes to Looping and 55% to the token's creator.
- Creator fee
- Set by the creator at launch, from 0% to 10% of every buy and sell, paid in full to the creator.
- Anti-sniper fee
- A fee on buys in the first 3 seconds after a launch, starting at 99% and falling to 0. It is split like the trading fee. The creator can exempt wallets from it at launch.
- Launch fee
- $14 to launch a game's token, paid in ETH or USDG.
- In-game purchases
- Looping takes 10% of each purchase in a game's store, and nothing on games whose token is paired with GG. The rest goes to the game's creator.
- Network fees
- Every transaction on Robinhood Chain also pays the network's gas, which goes to the network, not to Looping.
A token's trading, creator and anti-sniper fees are fixed when it launches, by the launchpad contracts on Robinhood Chain, and can't change afterwards. We may change fees for launches, purchases and services that happen after a change. You are responsible for all taxes on your use of Looping, including on trades, fees earned and purchases, and for reporting them.
Acceptable use
You may not use Looping to:
- break any law or regulation, including sanctions, anti-money-laundering and securities laws, or help anyone else do so;
- defraud, mislead or scam anyone, including through false claims about a game, a token or its creator, or by impersonating any person, company or project;
- manipulate prices or volume, including wash trading, spoofing, or coordinated pump-and-dump schemes;
- publish a game that contains malware, reaches for players' wallets or keys, or tries to get around Looping's wallet protections, build checks or sandboxing;
- cheat, falsify scores or results, or exploit bugs in games, rooms or leaderboards;
- publish content that infringes anyone's rights, sexualizes minors, promotes violence or terrorism, or is otherwise unlawful;
- probe, attack, overload, scrape or interfere with Looping or its infrastructure, or use it in a way that harms other users;
- use more than one account, or someone else's, to get around a limit, a suspension or these Terms.
Moderation
We may review reports and, at our discretion, hide, delist or remove a game or comment, pause its store, ban a player from a game's rooms, or restrict an account, with or without notice. We can't change or remove a token or its contracts on chain.
Our interests
Looping, its team and its affiliates may hold, buy and sell GG and tokens launched on Looping, and earn fees from them. We owe you no fiduciary duty and are not required to disclose these positions.
Limits
We may set or change limits on transactions, uploads, builds, rooms, credits and other activity, to manage risk, protect users or keep Looping running.
Third-party services
Looping relies on services we don't control, including Robinhood Chain, Uniswap, wallet software, hosting, email and payment infrastructure. Their own terms apply to your use of them, and we are not responsible for them.
Intellectual property
Looping's software, design, names and logos belong to Looping or its licensors. We give you a limited, revocable, non-exclusive, non-transferable right to use Looping for its intended purpose under these Terms. Our SDK, engines and developer tools are covered by the Looping Platform License that comes with them.
Your content
You keep your rights in the games, images, names, comments and other content you publish on Looping. You give Looping a worldwide, royalty-free, non-exclusive license to host, copy, run, display, distribute and promote that content in connection with Looping, for as long as it is on Looping and as needed afterwards to keep records and meet legal obligations.
Feedback
If you send us ideas or feedback, we may use them for any purpose without paying you or crediting you.
Availability and changes to the service
We may change, suspend or discontinue any part of Looping at any time, with or without notice. Looping may be unavailable, slow or wrong at times, including because of the networks it depends on.
No warranties
Looping is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title and non-infringement, to the fullest extent the law allows. We don't warrant that Looping, any game, any token or any smart contract will be secure, accurate, uninterrupted or error-free.
Limitation of liability
To the fullest extent the law allows, Looping and its team, affiliates and licensors won't be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data, digital assets or goodwill, arising from or related to Looping or these Terms, however caused. Our total liability for all claims arising from or related to Looping or these Terms is limited to the greater of the fees you paid us in the 12 months before the claim arose and one hundred US dollars ($100).
Indemnification
You will defend, indemnify and hold harmless Looping and its team and affiliates from any claims, losses, liabilities and costs (including reasonable legal fees) arising from your use of Looping, your content, your games and tokens, or your breach of these Terms or of any law or third party's rights. Disputes between you and other users are between you and them, and you release us from claims arising from them.
Suspension and termination
We may suspend, restrict or end your access to Looping at any time, including if we suspect fraud, a breach of these Terms, a legal requirement, or a risk to users or to Looping. You may stop using Looping at any time. Tokens and contracts on chain are not affected by either. The sections on your content, fees and taxes, risks, our interests, intellectual property, no warranties, limitation of liability, indemnification, disputes and general terms survive termination.
Governing law and disputes
These Terms, and any dispute arising from or related to them or to Looping, are governed by the laws of the British Virgin Islands. Before bringing a claim, you agree to try to resolve it with us informally for at least 30 days. Any dispute that remains will be finally resolved by binding arbitration on an individual basis, administered by the BVI International Arbitration Centre under its rules, seated in Road Town, Tortola, British Virgin Islands, in English, before one arbitrator; hearings may be held by video conference. Either side may still seek an injunction or other interim relief from a court to protect its intellectual property or to preserve the status quo. You and we waive any right to a jury trial and to bring or take part in a class, collective or representative action. For any proceeding not subject to arbitration, the courts of the British Virgin Islands have exclusive jurisdiction.
General
These Terms are the whole agreement between you and Looping about Looping. If any part is found unenforceable, the rest remains in effect. Our not enforcing a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them. Nothing in these Terms creates a partnership, agency or employment relationship.
Changes to these Terms
We may update these Terms. The date at the top says when they last changed. Using Looping after a change means you accept the updated Terms.
